OFFICIAL RULES

 

1. The Securiti Ducati Giveaway (the “Contest”) is sponsored by Securiti, LLC. (“Securiti”).  NO PURCHASE IS NECESSARY TO ENTER OR WIN. 

 

2. The Contest is subject to all federal, state and local laws.  Void where prohibited by law.  By entering, entrants (“Entrants”) agree to these Official Rules. 

 

3. The Contest begins on 5:00pm EST on April 3, 2023 and ends at 10:00pm EST on April 5, 2023 (“Promotion Period”).  Securiti’s computer is the official time-keeping device for this Contest promotion.

 

4. Entries to the Contest can be made as follows:

 

1. During the Promotion Period via the Securiti website at https://securiti.ai/gps-raffle-registration-2023/ (the “Securiti Website”).

 

2. Between 5:00pm to 8:00pm EST on April 3, 2023, between 8:00am to 5:00pm EST on April 4, 2023, and between 8:00am to 10:00am EST on April 5, 2023: via QR code scanning during the “IAPP Global Privacy Summit 2023” conference (the “Conference”) (located at the Walter E. Washington Convention Center, Washington, D.C.) at the Securiti booth (booth #) (the “Securiti Booth”).

 

5. Entrants who fail to provide the required information will not be eligible to win and will not be notified by Securiti.  

 

6. The winner will be announced on or about 11:30am EDT on April 5, 2023 at the Securiti Booth.  

 

7. The information that you provide in connection with the Contest may be used by Securiti in accordance with its Privacy Policy, which is found at https://securiti.ai/privacy-policy and which may be updated from time to time.

 

ELIGIBILITY

 

8. Entrants must be individuals at least 18 of age and may not be entities and must be employees of entities that have registered to attend the Conference or have otherwise registered to attend the Conference. 

 

9. Employees of Securiti or its affiliates, employees of entities that are partners with Securiti, and employees of government and public sector agencies or entities are not eligible to participate in the Contest.

 

10. In order to win the Prize, an Entrant must be present at the Conference, or there must be at least one employee from such Entrant’s employer who is present at the Conference.

 

11. Only one (1) entry is permitted per Entrant. Additional entries received from any such person or email address thereafter will be void.  Any use of robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar entry methods or agents (including, but not limited to, contest-entry services) are prohibited and will void all entries submitted by that individual.

 

12. If a selected winner is disqualified at the time of drawing or thereafter, then such Entrant waives any rights to the Prize, and Securiti will conduct another drawing in order to select a qualifying winner. 

 

PRIZE

 

13. The winner of the Contest will receive a new Ducati motorcycle: Monster model, or comparable model, based upon availability and as determined by Securiti (the “Prize”). The Prize may not be sold or bartered or auctioned or otherwise transferred. However, the winner may opt instead of receiving the motorcycle to receive a cash prize equal to 70% of the motorcycle MSRP, in full satisfaction in lieu of receiving the Prize.  

 

14. Security has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

 

15. The winner must present to Securiti a government-issued photo identification. The winner must sign a release that (1) acknowledges being bound by these Official Rules, (2) acknowledges waiver of any right of the Entrant to take legal action, on his/her own behalf and on behalf of  Entrant’s heirs and personal representatives, against Securiti arising from the condition or use of the Prize as provided in Section ‎21 below, and (3) grants to Securiti rights to use the winner’s name, company of employ, image, and biographical information to publicize the winner of the Contest as provided in Section ‎30 below. Execution of the aforementioned release is a condition to qualifying as a winner of the Contest.

 

16. The winner will be able to pick up the Prize at a dealer located at 435 S. Washington Street, Falls Church, VA 22046, or other location announced by Securiti, in or near Washington, D.C., by presenting a government-issued photo identification by no later than April 15^th, unless otherwise agreed by Securiti. If the winner opts to receive cash in lieu of the motorcycle, then Securiti will mail a check to the winner (or provide other means for the cash transfer).

 

17. The winner assumes sole responsibility for all costs associated with the Prize, including without limitation, all federal, state and local taxes (if any), fees, surcharges on the Prize. The winner is responsible for any freight, shipping and insurance costs arising from shipment of the Prize to any location selected by the winner. The winner will provide any tax documentation and information requested by Securiti and Securiti will file with any taxing authority necessary notices associated with winning of the Prize.

 

18. The odds of winning depend on the number of entries received for the drawing. 

 

19. Securiti will select the winning Entrant based upon a random drawing. 

 

20. For the avoidance of doubt, an Entrant shall not be considered a winning Entrant until the Entrant has complied with all terms set forth in this Official Rules.

 

LIMITATION OF LIABILITY/RELEASE/DISCLAIMER OF LIABILITY

 

21. BY PARTICIPATING IN THIS CONTEST, ENTRANTS AGREE ON THEIR OWN BEHALF AND ON BEHALF OF THEIR HEIRS AND PERSONAL REPRESENTATIVES THAT SECURITI AND ITS PARENTS, AFFILIATES, FRANCHISEES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, AND ADVERTISING, PUBLIC RELATIONS, CONTESTAL, MARKETING PARTNERS, FULFILLMENT AND MARKETING AGENCIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (THE "RELEASED PARTIES") WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS CONTEST OR IN ANY CONTEST RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE DELAYS OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM, OR ANY OTHER ACTS OR CIRCUMSTANCES BEYOND SECURITI´S CONTROL. 

 

THE RELEASED PARTIES SHALL NOT BE LIABLE, AND ARE NOT RESPONSIBLE, FOR DAMAGES OF ANY KIND RELATED TO YOUR PARTICIPATION IN OR INABILITY TO PARTICIPATE IN THE CONTEST, WHETHER THE DAMAGES ARE DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL. 

 

SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.

 

MISCELLANEOUS

 

22. All federal, state and local laws apply.  Securiti shall be entitled to interpret these Official Rules as needed — including but not limited to rules regarding entries, selection of winner, deadlines, restrictions, and eligibility — and all of its decisions are final.  By entering, Entrants agree to these Official Rules.  

 

23. Securiti reserves the right to cancel, terminate or suspend this Contest or any part of this Contest should any non-authorized intervention, network failure, supplier or vendor failure, information storage failure, telecommunications failure, malfunction, or other causes beyond its reasonable control substantially impair the ability or feasibility of Securiti from completing this Contest.

 

24. Securiti reserves the right to prohibit any Entrant from participating in the Contest if, at its sole discretion, Securiti finds such Entrant to be tampering with the entry process or the operation of the Contest, or if such entrant repeatedly shows a disregard for, or attempts to circumvent, these Official Rules, or acts: (a) in a manner Securiti determines to be not fair or equitable; (b) with an intent to annoy, threaten or harass any other entrant or Securiti; or (c) in any other disruptive manner.  Any person attempting to defraud or tamper with this Contest in any way will be ineligible and may be prosecuted to the full extent of the law.  Any failure by Securiti to enforce any of these Official Rules shall not constitute a waiver of such Official Rules. 

 

25. All activity arising out of and relating to the Contest is subject to verification and/or auditing for compliance with the Official Rules and Entrant agrees to cooperate with Securiti concerning verification and/or auditing. All references to an Entrant's status as a "winner" are subject to verification and/or auditing by Securiti. If verification activity or an audit evidences non-compliance of an entry or Entrant with these Official Rules as determined by Securiti in its sole discretion, Securiti reserves the right to disqualify the Entrant and remove the entry from the Contest at any time.

 

26. Securiti reserves the right to correct typographical or clerical errors in any Contest-related materials.  No more than a single Prize will be awarded.  

 

DISPUTES

 

27. By entering the Contest, entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest but in no event attorneys' fees; and (c) under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses.  

 

28. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants, Securiti and any other sponsor in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of California.  Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts located in the State of California, Santa Clara County and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules. 

 

29. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. These Official Rules constitute the entire understanding and contract between the parties and supersedes any and all prior and contemporaneous, oral or written representations, communications, understandings, and agreements between the parties with respect to the subject matter hereof. The parties acknowledge and agree that neither of the parties is entering into these Official Rules on the basis of any representations or promises not expressly contained herein. 

 

PUBLICITY/WINNERS’ LIST/OFFICIAL RULES COPY

 

30. EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE CONTEST CONSTITUTES WINNER´S GRANT TO SECURITI (WHICH GRANT SHALL BE CONFIRMED IN WRITING ON REQUEST) AND THOSE ACTING PURSUANT TO ITS AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE INTERNET, AT ANY TIME OR TIMES, EACH WINNER´S NAME, COMPANY, PORTRAIT, PICTURE, VOICE, LIKENESS, OPINIONS AND BIOGRAPHICAL INFORMATION (INCLUDING BUT NOT LIMITED TO HOMETOWN AND STATE) FOR ADVERTISING, TRADE, AND CONTESTAL PURPOSES WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.
